<p style="font-size:16px" class="">Vinpearl股份公司（<a href="https://www.vinpearl.com/cong-ty-co-phan-vinpearl-thong-bao-ke-hoach-phat-hanh-trai-phieu-doanh-nghiep-vplb2023037/">CTCP Vinpearl</a> ）的17.9億股股票將於5 月 13 日以每股71,300越盾（相當於公司估為1,300,000億越盾）在胡志明市證券交易所（HoSE）正式掛牌上市。根據規定，HoSE市場上的股票價格波動幅度一般為 7%，但對於首次上市的股票，在首日交易中，價格波動幅度將擴大至 20%。</p>



<p style="font-size:16px" class="">由此可見，Vingroup 旗下子公司 Vinpearl（Vingroup對Vinpearl的持股為85%）上市時的估值已超越多家已上市的大型企業，如 LPBank、Masan Group、Sabeco 和 ACB 等。</p>



<p style="font-size:16px" class="">今（2025）年2月，Vinpearl公司以每股71,350越盾的價格發行超過7,000萬股成功增資，<a href="https://vneconnews.com/vinpearl%e5%85%ac%e5%8f%b8%e5%90%91hose%e6%8f%90%e5%87%ba%e4%b8%8a%e5%b8%82%e7%94%b3%e8%ab%8b/">把公司資本額增加至179,330億越盾</a>。</p>



<p style="font-size:16px" class="">今年第1季，Vinpearl公司的營收較去年同期成長 45%，達 24,350 億越盾，相當於平均每日營收約 270 億越盾。扣除各項費用後，公司獲稅後淨利 903 億越盾。</p>

<p style="font-size:16px" class="">發行股票所募得之資金將用於注資Vinwonders Nha Trang股份公司9,900億越盾來投資Vinwonders Nha Trang文化公園項目（dự án Công viên văn hóa Vinwonders Nha Trang）；受讓由Vingroup轉讓Vinpearl Cua Hoi股份公司（Cua Hoi遊樂園項目的投資者）的99.992%股份（18,550億越盾）；支付貸款及貸款相關費用（16,580億越盾）&#8230;。</p>



<p style="font-size:16px" class="">依最初計劃，增資方案將在獲得國家證委會（Ủy ban Chứng khoán Nhà nước）批准後於今年第4季或明年第1季進行。</p>



<p style="font-size:16px" class="">Vingroup集團在去年11月底宣布分拆<a href="https://vneconnews.com/vingroup%e6%97%97%e4%b8%8b%e5%ad%90%e5%85%ac%e5%8f%b8vinpearl%e4%bb%8a%e5%b9%b4%e4%b8%8a%e5%8d%8a%e5%b9%b4%e7%8d%b2%e5%88%a9%e8%bf%9126000%e5%84%84%e8%b6%8a%e7%9b%be/">Vinpearl公司</a>，並在業務分立的基礎上成立新的子公司，Ngoc Viet貿易和商業股份公司（CTCP Thương mại và Kinh doanh Ngọc Việt），資本預計為204,201億越盾並由Vingroup持股超過99.96 %。此外，Vinpearl公司董事會在當時也通過公司準備在2024年上市的計畫。</p>

<p style="font-size:16px" class="">隨著旅遊業復甦， Vinpearl的營運狀況也逐漸起色，今年第2季銷售間夜總數比去年同期成長25%。VinWonders和Vinpearl Golf今年第2季的營收也分別比去年同期成長52%和17%。</p>



<p style="font-size:16px" class="">公司的股東權益報酬率 ( ROE ) 從去年0.05到今年上半年上升至0.08。</p>



<p style="font-size:16px" class="">截至2024年6月30日，Vinpearl公司淨值達到超過315,120億越盾，是去年底的2.3倍。</p>



<p style="font-size:16px" class="">公司的負債權益比(Debt-To-Equity Ratio)為1.15倍，相當於負債總額超過362,380億越盾，較去年底增加約55,000億越盾。</p>



<p style="font-size:16px" class="">Vinpearl目前在全國17個省市共有44事業單位和4個旅遊娛樂綜合體，其中包括30家飯店，共超過15,900間客房和別墅，7個VinWonders主題公園和遊樂園，2個野生動物保護園區、5個高爾夫球場（越南4個以及澳洲1個）和1家馬術學院。</p>

<p style="font-size:16px">Vingroup集團旗下子公司 Vinpearl公司（<a href="https://www.vinpearl.com/cong-ty-co-phan-vinpearl-thong-bao-ke-hoach-phat-hanh-trai-phieu-doanh-nghiep-vplb2023037/" target="_blank" rel="noreferrer noopener">Công ty cổ phần Vinpearl</a>）剛宣布今年9/21日成功發行每張面額為20萬美元，總價值4.25億美元的國際債券。所發行的國際債券期限為5年，名義年利率為3.25%，利率每6個月支付一次。 發行的國際債券由Vingroup集團作擔保。主辦發行團包括Credit Suisse, The Hongkong and Shanghai Banking (HSBC) và BNP Paribas瑞士信貸（ Credit Suisse） 、香港上海匯豐銀行 ( HSBC ) 和法國巴黎銀行 ( BNP Paribas ) 。  </p>



<p style="font-size:16px">根據發行條款，本次發行的債券可轉換為Vingroup集團的普通股，轉換價格為每股109,680越盾，比該集團股票（代碼: VIC）9月27日的收盤價高出27%。 截至今（2021）年6 月底止，Vingroup集團持有Vinpearl公司98.2%股權。</p>



<p style="font-size:16px">Vinpearl本次募集到的資金將用於充實營運資金，<a href="http://vneconnews.com/vinpearl%e7%99%bc%e8%a1%8c%e8%bf%919%e5%8d%83%e5%84%84%e8%b6%8a%e7%9b%be%e5%82%b5%e5%88%b8%e4%be%86%e7%b1%8c%e9%9b%86%e8%b3%87%e9%87%91/" target="_blank" rel="noreferrer noopener">提前償還2020年的對外借款</a>（包括本金、利息及其他相關應付款項）以及投資Vingroup旗下的飯店。</p>

<p style="font-size:16px">由房地產交易經紀公司起家的FLC集團（<a href="https://www.flc.vn/" target="_blank" rel="noreferrer noopener">FLC&nbsp;Group</a>）在2011年上市前，主要為經營房地產交易經紀、財務諮詢和建案管理業務。FLC當時以大量買進的方式投資一些已完工建案，如Mandarin Garden、Golden Place等建案……。</p>



<p style="font-size:16px">在2012年至2013年期間，FLC的投資擴展至河內西邊地區（Xuan Phuong、Me Tri、My Dinh等）以及Vinh Phuc省的一些建案。至2014年集團開始跨足其他類型房地產，包括度假住宅和工業區基礎設施等。FLC在經10多年發展後，目前在全越南各處擁有數千公頃土地及數十個大小型開發案。</p>



<p style="font-size:16px">FLC投資的開發案多集中在河內。 2010年由集團子公司FLC Global投資興建，位於My Dinh 1都市區佔地面積5,000平方米的FLC Golfnet體育娛聯合區（khu liên hiệp thể thao và giải trí FLC Golfnet）。 2012年初，推出位於南慈廉郡 ( Nam Từ Liêm )佔地4,400多平方米，總投資金額11,800億越盾的FLC Landmark Tower建案。</p>



<p style="font-size:16px">2012年底，FLC投資近3.4萬億越盾興建一位於巴維縣（Ba Vì）的高爾夫渡假勝地。2014年底，FLC通過併購擁有The Lavender建案，該建案位於河東郡 ( Hà Đông )，占地約2,800平方米，建案後更名為FLC Star Tower。</p>



<p style="font-size:16px">2015年8月，正式動工興建位於紙橋郡 ( Cầu Giấy )的FLC Twin Towers（Bamboo Airways Tower），建案佔地超過1公頃，總投資金額52,000億越盾。2020年6月，FLC投資近1.43萬億越盾興建位於北干市( TP Bắc Kạn )規模48.86公頃的住宅區建案。</p>

<p style="font-size:16px">2016年，FLC開始進軍中越，第一個開發案是位於歸仁市（TP Quy Nhơn）的FLC Quy Nhơn生態旅遊城市。佔地面積1,300公頃，總投資約20萬億越盾， 2015年5月動工，於2016年7月完工。2017年，FLC Quy Nhơn生態旅遊城市展開第二期，興建The Coastal Hill酒店。 2020年11月底，位於生態旅遊城市的FLC Grand Hotel Quy Nhon正式開業。</p>



<p style="font-size:16px">在藝安 ( Nghệ An )，FLC投資約10萬億越盾興建位於Nghi Loc縣，規模460公頃的生態旅遊和娛樂綜合區。  在廣平 ( Quảng Bình )，FLC投資約20萬億越盾興建位於廣寧縣( Quảng Ninh )，規模1,900公頃的FLC Quang Binh生態旅遊度假群。</p>



<p style="font-size:16px">在廣義 ( Quảng Ngãi )，FLC已於2019/06月動工興建FLC Quang Ngai旅遊度假群，旅遊度假群包括4家飯店、resort以及兩海邊城市，規模1,026公頃，第1階段投資近11萬億越盾。</p>



<p style="font-size:16px">在慶和省 ( Khánh Hòa )，省人委會已於2015/10月批准FLC以BT模式投資7萬億越盾興建該省新的行政中心。</p>

<p style="font-size:16px">在高原( Tây Nguyên )，FLC已於2019/08月動工興建在崑嵩位於( Kon Tum )的FLC Legacy Kon Tum城市建案，建案規模18公頃，總投資2萬億越盾。</p>



<p style="font-size:16px">在同塔( Đồng Tháp )，FLC已於2019/07/21日動工興建位於沙瀝市( TP Sa Đéc )的FLC La Vista Sadec 城市建案，建案規模15公頃。</p>



<p style="font-size:16px">在薄遼( Bạc Liêu )，FLC目前在投資3個項目，包括: Bac Lieu生態旅遊區; Bac Lieu商辦住宅綜合建案以及Bac Lieu新市鎮共606公頃。</p>

<p style="font-size:16px">越南房地產經紀協會表示，在市場上銷售的18,000單位Condotel主要是之前的庫存。 2020年的前9個月，<a href="https://vneconnews.com/%e6%b8%85%e6%9f%a5%e5%96%ae%e4%bd%8d%e5%bb%ba%e8%ad%b0%e6%9a%ab%e5%81%9ccondotel%e5%bb%ba%e9%80%a0%e5%9f%b7%e7%85%a7%e7%9a%84%e7%99%bc%e6%94%be/" target="_blank" rel="noreferrer noopener">Condotel交易市場幾乎是被凍結</a>。 市場在2020年第4季開始出現復甦跡象，但交易量仍顯得微不足道，全國全年僅完成120宗交易。越南房地產經紀協會副會長Nguyen Van Dinh表示，Condotel交易停滯的其中一個原因是旅遊業受到新冠肺炎疫情衝擊關係，致大部分旅遊景點及住宿地方都被封閉。另外是政府對於公寓式酒店的政策在2020年仍有很多不確定性，導致多個公寓式酒店建案一直無法動工興建。</p>

<p style="font-size:16px">政府清查單位表示，condotel不單是在慶和省，其他省分也在不斷興建。 投資興建Condotel雖然帶來不少經濟效益，如吸引投資、促進旅遊和服務業發展； 創造就業機會，增加稅收等…但在發展過程中也出現一些問題，主要是因為現行法規尚未有關於旅遊區內住宅用地興建非住宅單位的相關法規。進而造成土地使用權、房屋所有權期限等各種糾紛以及在核發房屋產權和土地使用權證明書等問題的出現&#8230; 根據該單位的說法，上述這些問題所涉及法令層面與行政部門牽涉甚廣，例如土地法、投資法、規劃法、建築法、居住法、房地產經營法和旅遊法等&#8230;因此，有必要研究來尋求一全面的解決方案。<strong>政府清查單位建議：“目前先暫停給渡假公寓( condotel )建案發放建造執照，直至依總理指示完善相關法律制度為止”。</strong></p>

<p style="font-size:16px">根據胡志明市不動產協會（<a href="http://www.horea.org.vn/" target="_blank" rel="noreferrer noopener">HoREA</a>）的數據，全國目前有約82,900間Condotel、28,100間度假別墅和15,660間度假聯排別墅， 主要集中在河內、胡志明市、峴港市、清化、平定、慶和，平順和堅江省等旅遊景點地區 ，總投資資金估計約為1百萬億越盾。根據越南房地產經紀人協會最新統計，全國在今年前9個月共有超過4,000間新的Condotel進入市場。 但是據統計，多達2/3數量的Condotel滯銷。</p>
